These Terms of Use (“Terms”) govern access to and use of the website located at https://covaratech.com (the “Website”), operated by [Covaratech Private Limited / Covaratech LLP, insert exact registered legal name once incorporation is complete] (“Covaratech”, “we”, “us” or “our”).

1. Introduction and acceptance

By accessing or using the Website, submitting any form on the Website (including a request for consultation or demo), or otherwise interacting with the Website, you (“User”, “you” or “your”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with these Terms, please discontinue use of the Website.

These Terms are published in accordance with the Information Technology Act, 2000 and the rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, to the extent applicable, and constitute an electronic record within the meaning of applicable law. This electronic record is generated by a computer system and does not require any physical or digital signature.

2. Nature of the Website and Services

The Website is an informational and marketing platform through which Covaratech describes its technology consulting and delivery services across AI engineering, enterprise AI, cloud and platform engineering, security and compliance, and planning and delivery (“Services”), showcases its work and client relationships, and enables prospective clients to book a consultation.

The Website does not itself offer any product for direct purchase, subscription, or download, and no Services are sold, delivered, or performed on a self-service basis through the Website. Where Covaratech makes any software product or platform of its own publicly available for sign-up in the future, access to and use of that product will be governed by a separate Terms of Service, subscription agreement, and privacy notice specific to it, and not by these Terms.

Nothing on the Website constitutes an offer capable of acceptance so as to form a binding contract. Any actual engagement for Services is undertaken only pursuant to a separate, definitive written agreement (such as a letter of engagement, statement of work, master service agreement, or similar instrument) executed between Covaratech and the relevant client, and it is that separate agreement, not these Terms, that governs the scope, fees, deliverables, warranties, liability, and other commercial terms of any such engagement.

Nothing on the Website, including client names, logos, testimonials, case studies, or statements of results achieved, constitutes a guarantee, warranty, or representation that similar results will be achieved for any other person. Such content is provided for illustrative purposes only.

3. Eligibility

The Website is intended for use by persons who are competent to contract under the Indian Contract Act, 1872, and who are accessing the Website in a business or professional capacity on behalf of an organisation. By using the Website, you represent that you meet this requirement, that any information you submit is accurate, and that you have the authority to submit it on behalf of the organisation you represent, where applicable.

4. Permitted use of the Website

You may access and use the Website solely for your own internal, lawful, and non-commercial purpose of evaluating Covaratech’s Services. You agree not to:

  • copy, reproduce, republish, frame, mirror, scrape, or create derivative works from any part of the Website, except for temporary caching incidental to ordinary browsing;
  • use automated means (bots, crawlers, scrapers) to access or extract data from the Website, other than standard search-engine indexing;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Website, its servers, or any connected network or system;
  • introduce any virus, malware, or other harmful code to the Website;
  • misrepresent your identity or affiliation, or submit false, misleading, or fraudulent information through any form on the Website; or
  • use the Website in a manner that violates any applicable law, including the Information Technology Act, 2000, or that infringes the rights of Covaratech or any third party.

Covaratech reserves the right to restrict, suspend, or terminate any person’s access to the Website, without notice, for conduct that Covaratech, in its sole discretion, believes violates these Terms or is harmful to the interests of Covaratech, other users, or third parties.

5. Intellectual property

All content on the Website, including text, graphics, logos, the Covaratech name and marks, illustrations, page layout, look and feel, and underlying software or code, is the property of Covaratech or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws. Client names and logos displayed on the Website are used with permission and remain the property of their respective owners.

Except as expressly permitted under Clause 4, no right, title, licence, or interest in any content on the Website is transferred or granted to you. You may not use the “Covaratech” name, logo, or any Covaratech trademark without Covaratech’s prior written consent.

This Clause 5 governs intellectual property in the Website itself and does not affect the separate ownership and intellectual property terms agreed between Covaratech and its clients in respect of custom deliverables built under a client engagement, or in respect of the Platform, which are governed exclusively by the applicable signed agreement or Platform-specific terms.

6. Julie (our AI assistant) and third-party links

The Website features Julie, an AI-powered assistant that answers client questions and supports marketing conversations. Julie is an automated system, not a Covaratech employee, and her responses are generated automatically and may be inaccurate or incomplete. Nothing Julie says on the Website constitutes an offer, forms a binding contract, or amounts to professional advice under Clause 8, and any actual engagement for Services remains subject to Clause 2. The restrictions in Clause 4 apply equally to your interactions with Julie, including the prohibition on submitting false, misleading, or unlawful content and on using automated means to interact with her beyond ordinary use. How we process the personal data you share with Julie is described in our Privacy Policy.

The Website may also contain links to, or embed tools operated by, other third parties (including scheduling/booking tools, video platforms, social media platforms, analytics and session-analysis tools, or cloud storage links). Covaratech does not control and is not responsible for the content, accuracy, availability, or privacy practices of any such third-party website or service. Access to and use of any such third-party service is at your own risk and subject to that third party’s own terms and privacy policy. How these tools are used, and the choices available to you, are described in our Privacy Policy.

7. Submissions and user content

Where you submit information, a query, testimonial, feedback, or other content to Covaratech through the Website, including messages you send to Julie, (“Submission”), you grant Covaratech a non-exclusive, royalty-free, worldwide licence to use such Submission for the purpose of responding to your enquiry, improving the Website, and, where you have separately and expressly consented, for marketing or testimonial purposes. You represent that any Submission does not infringe the rights of any third party and does not contain unlawful, defamatory, or confidential information belonging to another person.

Personal information submitted through the Website is handled in accordance with our Privacy Policy.

8. No professional advice; no reliance

Content on the Website, including articles, guides, FAQs, and other publications, is provided for general informational purposes only and does not constitute technical, legal, financial, tax, or other professional advice. You should not act or refrain from acting on the basis of any content on the Website without seeking independent professional advice specific to your circumstances. Covaratech makes no representation that such content is accurate, complete, or current at the time you access it.

9. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Website will be uninterrupted, secure, or error-free.

Covaratech does not warrant that the Website is free of viruses or other harmful components. You are responsible for implementing adequate procedures and virus checks to satisfy your own requirements for the accuracy of data input and output.

10. Limitation of liability

To the maximum extent permitted by applicable law, Covaratech, its directors, officers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, revenue, data, business, or goodwill, arising out of or in connection with your access to or use of, or inability to access or use, the Website, even if Covaratech has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits Covaratech’s liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable Indian law. This Clause 10 applies to your use of the Website only and does not affect, limit, or override the liability, indemnity, or risk-allocation provisions of any separate signed agreement between Covaratech and a client for the provision of Services, or any future Platform-specific terms.

11. Indemnification

You agree to indemnify and hold harmless Covaratech and its directors, officers, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website, or your violation of any applicable law or the rights of any third party.

12. Privacy

Your use of the Website is also governed by our Privacy Policy, which describes how Covaratech collects, uses, discloses, and protects personal information submitted through the Website, in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the rules made thereunder.

13. Modifications to these Terms

Covaratech may revise these Terms at any time by updating this page, at its sole discretion and without prior notice, to reflect changes in law, the Website, or Covaratech’s business practices. The “Last updated” date at the top of these Terms indicates when they were last revised. Your continued use of the Website after any revision constitutes your acceptance of the revised Terms. You are encouraged to review these Terms periodically.

14. Termination

Covaratech may suspend or terminate your access to all or part of the Website at any time, with or without cause and without notice, including for any actual or suspected violation of these Terms. Clauses 5, 7, 8, 9, 10, 11, 15, and 16 shall survive any termination of your access to the Website.

15. Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. If a dispute is not resolved within thirty (30) days of written notice of the dispute, it shall be subject to the exclusive jurisdiction of the competent courts at [insert city], India, and each party irrevocably submits to such jurisdiction.

16. Grievance redressal

The Grievance Officer shall acknowledge any complaint within twenty-four (24) hours and endeavour to redress it within fifteen (15) days from the date of receipt, in accordance with applicable law.

17. General

17.1 Entire agreement.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Covaratech regarding use of the Website and supersede all prior understandings regarding such use.

17.2 Severability.

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

17.3 No waiver.

Covaratech’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment.

You may not assign or transfer these Terms without Covaratech’s prior written consent. Covaratech may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

17.5 Force majeure.

Covaratech shall not be liable for any failure or delay in the operation of the Website resulting from causes beyond its reasonable control.
